Effective October 1, 2026

These Terms of Service ("Terms") govern your access to and use of the Gradient platform, API, and related services (collectively, the "Services") operated by Gradient Systems, Inc. ("Gradient," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Eligibility

The Services are available only to financial institutions, businesses, and their authorized representatives. By creating an account, you represent that:

2. Account Registration

Access to the Services requires an invitation code and email verification. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately of any unauthorized access.

Each account must complete business verification (KYB) before accessing mainnet (live) services. Verification information is transmitted to our licensed third-party service providers and is not stored by Gradient.

3. Services Description

Gradient provides a treasury management platform that enables:

Gradient acts as an interface layer. Custody of digital assets, fiat processing, and card network access are provided by regulated, licensed third-party service providers. Your use of these underlying services is subject to the terms and policies of those providers.

4. Underlying Service Provider Terms

The Services are powered by Brale Inc. ("Brale"), a licensed digital asset and payment infrastructure provider. By using the Services, you acknowledge and agree to be bound by the Brale End User Agreement, the Brale Privacy Policy, and the Brale Terms of Service, each as amended from time to time. In the event of a conflict between these Terms and the Brale End User Agreement, the Brale End User Agreement shall control with respect to matters relating to digital asset custody, settlement, and wallet services.

By creating an account on Gradient, you authorize Gradient as an API Partner (as defined in the Brale End User Agreement) to initiate transactions on your behalf and to share your information with Brale as necessary to provide the Services.

Payment processing may be routed through additional third-party providers. You acknowledge that you may be subject to the terms and privacy policies of such providers as described in the Brale End User Agreement.

Digital assets held in your account are not subject to protections or insurance provided by the Federal Deposit Insurance Corporation (FDIC) or the Securities Investor Protection Corporation (SIPC).

5. Financial Terms

5.1 Amounts and Precision

All monetary amounts are represented as decimal strings with two decimal places. Gradient does not use floating-point arithmetic for financial calculations.

5.2 Transactions

All transactions require an idempotency key. Transactions are final once settled. Gradient is not responsible for transactions sent to incorrect addresses or with incorrect amounts.

5.3 Fees

Fees for the Services are set forth in your account agreement. Gradient reserves the right to modify fees with 30 days' prior written notice. Exchange rates and conversion costs are disclosed at the time of each transaction.

6. Fraud Prevention and Risk Analysis

To protect your account and the integrity of the Services, Gradient collects and analyzes data for fraud detection, risk assessment, and compliance purposes. This includes:

You consent to this monitoring and analysis as a condition of using the Services. If we detect activity that we reasonably believe is fraudulent, in violation of applicable law, or otherwise poses a risk to the platform, we may suspend or restrict your account, delay or refuse transactions, and report such activity to the appropriate authorities as required by law.

You are responsible for promptly reporting any unauthorized access to your account or any suspected security breach to support@gradientsystems.com.

7. Acceptable Use

8. API Usage

Access to the Gradient API is governed by these Terms and any additional API documentation we publish. API keys are confidential and must be stored securely using environment variables or a secrets manager — never hardcoded in source code or committed to version control. We may revoke API access for violations of these Terms.

9. Testnet

The testnet environment uses simulated funds and is provided for development and integration testing only. Testnet balances have no monetary value. We may reset testnet data at any time without notice.

10. Data and Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

11. Intellectual Property

The Services, including all software, documentation, APIs, trademarks, and content, are the property of Gradient Systems, Inc. and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.

12. Digital Asset Risks

You acknowledge and agree that:

13. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRADIENT DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. GRADIENT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRADIENT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. GRADIENT'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify and hold harmless Gradient, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services or violation of these Terms.

16. Suspension and Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms, if required by law, or if your verification status changes. You may close your account at any time by contacting us. Upon termination, you must settle all outstanding balances.

17. Dispute Resolution

Disputes arising from the use of the Services that relate to digital asset custody, settlement, or wallet services are subject to the dispute resolution provisions in the Brale End User Agreement, including its binding arbitration clause and class action waiver (Section 10 thereof). You acknowledge that by agreeing to these Terms, you are also agreeing to resolve such disputes through binding individual arbitration and waiving your right to participate in class actions.

18. Modifications

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by email or through the Services. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms.
